Compensation

RF/iCentro (herein referred to as "iCentro"), recognizes the value of high quality business and client relationships and seeks to compensate the Referring Individual (herein referred to as “Partner”) accordingly. For business opportunities primarily, but not exclusively in project management, stakeholder engagement and online learning, facilitation, teambuilding and collaboration.'

In Good Faith & In Respect of Client Relationships

The sales commission structure provides an incentive for participation during the development of a proposal and/or TORs for meaningful participation insight and input leading to contract negotiation and closure; AND (2) ongoing contact and check-in with client. iCentro will include the Partner in the project team, wherever possible, depending on his/her availability, skills, interests and abilities.

Proposed Breakdown of Total Compensation

  • Sales Commission - up to 15%
  • Work Budget - 70%
  • Project Management / Admin / Support - 15%

Sales Fees, Commissions

  • Lead (Level 1x - Hot) - movement to TORs in one phone call and/or meeting - 10%
  • Lead (Level 1) - 75% of Level 1x - 7.5%
  • Lead (Level 2) - 50% of Level 1 - 5%
  • Lead (Level 3, 4, 5, etc.) - no fees applicable
  • (1) Proposal/TORs Development - meaningful participation, insight and input leading to contract negotiation and closure; AND (2) ongoing contact and check-in with client - 5%

Work Budget / Distribution

  • Payment on work performed in overall contract (roles will be determined by iCentro and Partner, in advance of project start)

Project Management

  • Project contracting, management and coordination

Definitions, Fine Print

Agreement

  • Agreement - is the agreement and followup written documentation and correspondence between Partner and iCentro accepting the terms and conditions pertaining to business referrals and compensation.

Partners & Their Contacts

  1. Referring Individual (aka “Partner”) - a person who refers business opportunities and referrals to iCentro (i.e., Partner is a business associate of iCentro, and is NOT any way considered to be an employee of iCentro Corporation, and may NOT represent themselves as such)
  2. The Partner will share Contact name, organization, good time to reach person and other pertinent details to enable a connection and dialogue
  3. Contacts - Levels
(a) Level 1x contact - a contact who is a "Hot" lead; (i.e., leading to request for proposal development and active client participation based on the TORs methodology in one phone call and/or meeting. If a 2nd meeting is required or there is a delay, then Level 1 applies and Partner will be duly informed via email.)
(b) Level 1 contact - a contact directly referred by Partner
(c) Level 2 contact - a contact referred by a Level 1 contact
(d) Level 3, 4, 5 contact - a contact referred by a Level 2, 3 or 4 contact

Notification

  1. iCentro will share relevant sales commission payment information, as it becomes available - via email
  2. iCentro will share project progress on a reasonable and timely basis.
  3. Confidential information will not be shared with anyone (including the Partner), at any time or by any means
  4. iCentro will notify Partner via email the agreed-upon terms and conditions pertaining to business referrals and compensation), based on the information herein.

Applicability

  1. Valid on first contract within one (1) calendar year from date of introduction and/or referral to Level 1 contact
  2. Only valid if Contact (i.e., Level 1, 2, etc.) is NOT already known to RF/iCentro; OR if Contact is already known, RF/iCentro may not be aware of an existing or emerging project opportunity.
  3. For project management, stakeholder engagement and/or online learning, teambuilding, collaboration and coaching services, primarily but not exclusively.
  4. No fees are payable IN ANY CIRCUMSTANCES, if business contacts and proposal development do not result in success (i.e., contract sale and closure).

Duration

  1. For first contract within one (1) calendar year from date of introduction and/or referral
  2. A record will be kept of the correspondence and agreement with the Partner.
  3. Subsequent contracts are not applicable.

Percentages/Amounts

The proposed breakdown of Total Compensation is:

  • Sales Commission - up to 15%
  • Work Budget - 70%
  • Project Management / Admin / Support - 15%

Payments

  1. Based on gross contract value, LESS payments due to use of contracting agents; corporations; networks; RandyGivesBack and/or consortia and related expenses, sales commissions, business and referral fees (i.e., OER Foundation - 3% Honesty Contribution.), and LESS applicable taxes and expenses.
  2. Partner is responsible for providing an invoice to iCentro Corporation for the agreed-upon amount payable. (In the event of conflict or disagreement, written correspondence will be reviewed and shared with both parties).
  3. Payments will be made to the Partner by iCentro Corporation ONLY AFTER after the contract has been fully completed to the Client's satisfaction.
  4. Full payment must be received (and successfully clear the banking / financial institution) by iCentro Corporation.
  5. Payment will be made via cheque, e-payment or the most convenient method possible.
  6. Payment of applicable taxes, expenses and any other fees are the sole responsibility of the Partner.
  7. No late payment fees, interest or bank charges or wire transfer fees are applicable. If for example, the Partner requires payment by wire transfer, s/he is responsible for the fees. These will be deducted from the amount payable to the Partner.

Indemnification

Partner agrees to indemnify, hold harmless, and defend iCentro from and against all claims, losses, expenses, fees (including attorney fees), costs (including costs of litigation), and that may be asserted against iCentro that result from negligent or willful acts or omissions of Partner, Partner's employees, agents, or subcontractors in the performance of any of its obligations under this agreement. Additionally, Partner shall indemnify and hold iCentro harmless from and against any liability arising out of all claims of misuse of Confidential Information of others by Partner, Partner's employees, agents, or subcontractors in connection with Services rendered under this Agreement.

In the unlikely event that iCentro is NOT paid for its services (i.e., default, client lien, lawsuit, bankruptcy, death, illness or change in leadership or business practices, etc.), iCentro is not responsible for paying and/or reimbursing Partner for any services rendered.
