Your comments on the Board of Directors made me think of a reference Steve mentioned earlier:

Kleiner proposes a way to deal with politics and personal agendas in the corporation (pp. 206-208): increased transparency in operations of the Board of Directors, increased transparency in the method of selection of Board Members, and new and varied methods of selecting Board Members.
